Terms of Use & License Agreement

Introduction

These Terms of Use & License Agreement ("Terms") govern the use of applications, systems, and related services ("Application" or "Services") provided under the brand name Benedict Corp., currently operated by Dmytro Belykh ("Provider" or "Benedict Corp.").

These Terms apply to all current and future products released under the Benedict Corp. brand.

This includes, without limitation, the applications "Benedict App," "Benedict Finance," and "Benedict Invoice," as well as any other applications, systems, or services developed and provided by Benedict Corp. ("Applications" or "Services").

Applications are built using Microsoft Power Apps, part of the Microsoft Power Platform. They operate on Microsoft cloud infrastructure, including but not limited to Microsoft 365, SharePoint, Power Apps, and Power Automate.

Benedict Corp. is solely responsible for the design, customization, and delivery of the Application. Microsoft Corporation (One Microsoft Way, Redmond, WA 98052-6399, USA) is solely responsible for the availability, licensing, and performance of Microsoft 365 products and cloud services.

By purchasing, installing, or using Applications, the Client ("You" or "Client") agree to these Terms.

Benedict PDF (Open-Source Tool)

Benedict PDF is distributed as an open-source project under the MIT License.

You are free to use, modify, and distribute the software in accordance with the terms of the MIT License, including for commercial purposes.

Any redistribution of the software must retain the original copyright notice and license terms.

The names "Benedict Corp." and "Benedict PDF," as well as related branding, logos, and materials, may not be used to represent modified or redistributed versions of the software without prior written permission.

Benedict Corp. does not provide warranties, guarantees, or ongoing support for the open-source version of Benedict PDF unless explicitly agreed in writing.

Benedict PDF is designed to operate within the user's own Microsoft 365 and Azure environments. Benedict Corp. does not access, process, or store user documents or data unless separately agreed as part of support or consulting services.

All provisions, licensing terms, implementation conditions, pricing, and commercial terms described below in these Terms of Use do not apply to Benedict PDF, unless explicitly stated otherwise.

Scope of License

Benedict Corp. grants You a non-exclusive, non-transferable, non-sublicensable, revocable license to use Applications and any Custom Orders requested by the Client, solely for Your internal business purposes.

All intellectual property rights, design, code, and branding remain the property of Benedict Corp.

You may not resell, redistribute, or modify the Application except with written authorization from Benedict Corp.

Microsoft Licensing & Dependencies

Applications and any Custom Orders requested by the Client are built on Microsoft technologies, including but not limited to Microsoft 365, SharePoint, Power Apps, Power Automate, Dataverse, and related cloud services.

Certain features may require additional Microsoft licenses. The Client is solely responsible for obtaining and maintaining all necessary Microsoft and third-party licenses for Applications to function.

Benedict Corp. does not provide, resell, or manage Microsoft licensing.

Lack of appropriate Microsoft licenses, or misconfiguration of such licenses, shall not constitute grounds for refund, warranty claim, or liability.

Applications' availability, performance, and features depend on Microsoft infrastructure. Benedict Corp. is not responsible for outages, changes in licensing terms, service limitations, or modifications introduced by Microsoft.

Microsoft Disclaimer

Microsoft Corporation provides the underlying cloud infrastructure (including Microsoft 365, SharePoint, Power Apps, Power Automate, and Azure) but is not a party to these Terms. Microsoft bears no responsibility or liability for the design, functionality, or performance of Applications, except to the extent issues are directly caused by outages or changes in Microsoft's own services. All obligations relating to Applications are solely those of Benedict Corp.

Acceptable Use

You agree not to:

• Upload unlawful, harmful, or sensitive personal data unless explicitly required and lawfully justified.
• Use Applications for purposes prohibited by GDPR, data protection laws, or internal company policies.
• Attempt to interfere with the Applications' security, reverse engineer, or exploit vulnerabilities.

Data Protection & Privacy

The Client is solely responsible for ensuring that all data entered into the Applications complies with GDPR, applicable data protection and confidentiality laws, and internal company policies.

Benedict Corp. does not accept liability for any misuse, miscollection, or unlawful processing of client data by users.

The Client acknowledges that Benedict Corp. acts as a software provider and does not determine the purposes or legal basis for data entered into the Application.

Service Availability & Support

Availability. Applications are provided "as is" and "as available." Availability depends on Microsoft infrastructure and other providers. Benedict Corp. is not liable for downtime caused by third-party services. This does not affect any statutory rights of consumers under applicable law.

Basic Support (included). Email support during business hours (EET/EEST), limited to installation, activation, and reproducible bugs in the unmodified Application.

Paid Support. Benedict Corp. may provide additional support after the warranty period has expired, under the hourly rate or monthly fixed price agreed with the Client.

Updates

The Provider may from time to time release updates, bug fixes, or improvements to the Applications.

For each update released, the Provider shall deliver accompanying instructions and explanatory materials, together with sufficient documentation detailing the installation and configuration procedures required to implement the update in the Client’s environment.

Installation and testing of updates in the Client's environment is the Client's responsibility unless a paid support plan is in place.

In the event that an update involves modifications to SharePoint list or library structures, or to Dataverse table schemas, the Provider shall furnish reasonable additional support at no extra cost to ensure proper implementation of such update.

The Provider will use reasonable efforts to maintain compatibility with Microsoft 365, SharePoint, Power Apps, and related services, but future changes made by Microsoft may affect functionality and are outside the Provider's control.

Warranty

Statutory Warranty

Where the Client is a consumer located in the European Union, statutory rights under Directive (EU) 2019/770 and applicable national law apply. In particular, digital content and services are covered by a legal guarantee of conformity of at least two years (or the duration of a subscription), during which the Applications must function as advertised and without defects.

Commercial Warranty

In addition to statutory rights, Benedict Corp. offers a 30-day commercial warranty from the date of delivery. Under this warranty, Benedict Corp. will correct a reproducible error that prevents basic use of the Applications, provided the Applications are used in their original, unmodified configuration with valid Microsoft licenses. Fixes will be delivered within a reasonable time via patch or workaround.

Exclusions

Neither the statutory nor the commercial warranty covers:

• issues caused by Client Modifications (see "Client's Modifications and Warranty Termination" below);
• changes in Microsoft or third-party products;
• incorrect data, permissions, or DLP policies;
• external service performance;
• requests for new features or customization.

Maximum Liability

For business Clients (B2B), the aggregate liability of Benedict Corp. is limited to the amount actually paid for the Applications. This limitation does not apply to consumers to the extent prohibited by applicable law.

Client's Modifications and Warranty Termination

The provisions of this Section apply in full to business Clients (B2B). Where the Client is a consumer located in the European Union, these provisions shall apply only to the extent permitted by applicable consumer protection laws of the European Union and the Republic of Lithuania.

Definition

"Client Modifications" include any changes made without prior written approval of the Provider, such as:

• editing the Canvas App and/or Model-Driven App in Power Apps (screens, formulas, variables, components);
• altering SharePoint list/library and/or Dataverse table structures (columns, data types, lookups, required fields, business relations, etc.);
• modifying or adding Power Automate flows, connection references, or API connectors;
• changing permissions, DLP policies, environments, or licensing settings;
• integrations with third-party services.

Rule

Any Client Modifications automatically void the warranty and included support with respect to resulting issues. The Provider may refuse free troubleshooting until the Application is restored to its original state.

Restoration

Upon request, the Provider may (for a fee):

• audit the configuration and restore it to a supported state; and/or
• implement requested customization as a paid project.

Warranty resumes only after such audit or as otherwise agreed.

Permitted Settings

Adjustments explicitly described in the Provider's documentation (e.g., filling look-up tables, choosing parameter values) are not considered Client Modifications and do not void the warranty.

Custom Orders

The Client may request customizations or additional features to the existing version of the Applications ("Custom Orders").

Custom Orders shall not be considered Client Modifications.

All Custom Orders are subject to the same warranty terms, limitations of liability, and legal clauses applicable to the Applications as defined in these Terms.

The fee, scope, and estimated delivery time for each Custom Order shall be agreed between the Client and the Provider prior to implementation, and shall be set out in the applicable order, quote, or statement of work.

Unless the applicable order, quote, or statement of work states otherwise, the Client acknowledges and agrees that any Custom Orders created for the Client may be used, adapted, or distributed by the Provider in future versions or other products, without obligation to the Client. Where a Client requires exclusivity, confidentiality of specific business logic, or restrictions on reuse, this can be agreed in writing as part of the applicable order.

Pilot Sessions

Benedict Corp. may offer pilot sessions for selected solutions, including but not limited to Benedict App, Benedict Invoice, and Benedict Finance, to allow potential clients to evaluate the functionality of the product before full implementation.

A pilot session may include a temporary dedicated environment, limited access to the application, basic customization, onboarding support, and demonstration of the solution using sample or client-provided operational data.

Pilot Duration

Unless agreed otherwise in writing, pilot sessions are provided for a limited period of 14 calendar days. At the end of the pilot period, access to the pilot environment may be suspended, removed, or fully deleted.

Pilot Setup Fee

For personalized pilot sessions requiring separate environment preparation, configuration, custom templates, onboarding, or other implementation work, Benedict Corp. may apply a Pilot Setup Fee of 10% of the base application price, agreed in writing in advance.

This fee covers preparation time, technical setup, and support provided during the pilot period.

If the client proceeds with the full implementation of the solution, the Pilot Setup Fee may be fully or partially deducted from the final project price, subject to separate commercial agreement.

If the client does not proceed with the implementation, the Pilot Setup Fee is non-refundable.

Data Handling During Pilot

Pilot environments are intended for evaluation purposes only. Clients are advised not to upload highly sensitive, confidential, or regulated data unless specifically agreed in writing.

Support During Pilot

Basic support during the pilot period is provided during standard business hours and includes assistance with access, onboarding, and resolution of technical issues directly related to the pilot environment.

Additional Customization and Development

Any requests beyond the standard pilot scope, including but not limited to custom feature development, additional workflow changes, extended consulting, advanced configuration, custom integrations, redesign requests, or other non-standard implementation work, shall be treated as additional services.

Such services are not included in the standard pilot session or Pilot Setup Fee and may be subject to separate charges.

Work on additional services may begin only after written confirmation from the Client.

Benedict Corp. reserves the right to issue separate invoices for such work regardless of whether the Client proceeds with the full purchase or implementation of the solution.

Unless otherwise agreed in writing, additional customization and development work shall be billed separately based on the agreed scope, complexity, and time required for delivery.

Completion of such work does not constitute automatic purchase of the full solution and does not affect the standard licensing and implementation terms.

No Production Warranty

Pilot sessions are provided for evaluation and testing purposes and may not include the full production-grade setup, final security configuration, or complete integration scope available in the final implemented solution.

Benedict Corp. makes reasonable efforts to ensure pilot stability and usability but does not guarantee uninterrupted availability during the pilot phase.

Fees, Payments & Refunds

All fees for Applications and Custom Orders are due as agreed in the order or invoice.

Payment for the Application, as well as Pilot Sessions or Custom Orders, shall be made prior to implementation. Benedict Corp. reserves the right to decline delivery until payment is received.

For business Clients (B2B), payments are final and non-refundable, including cases where the Client fails to secure necessary Microsoft or third-party licenses.

Where the Client is a consumer located in the European Union, statutory rights of withdrawal (14 days) and the statutory guarantee of conformity (minimum 2 years) apply. These rights may entitle the consumer to a refund, repair, replacement, or price reduction in accordance with applicable law.

Any taxes, duties, or charges related to the purchase are the responsibility of the Client.

Intellectual Property

All rights, titles, and interests in the Applications remain with the Provider.

No ownership rights are transferred to the Client by purchasing or using the Applications.

The Client is granted only the limited license described earlier in these Terms.

Any Custom Orders or additional features created for the Client shall also remain the intellectual property of the Provider, unless agreed otherwise in writing (see "Custom Orders" above).

Limitation of Liability

To the maximum extent permitted by law, Benedict Corp. and Dmytro Belykh shall not be liable for indirect, incidental, or consequential damages arising from the use of the Applications.

The total liability under these Terms shall be limited to the amount actually paid by the Client for the Application.

Nothing in these Terms shall exclude or limit liability for fraud, gross negligence, willful misconduct, or mandatory consumer rights under EU law.

Backup & Data

The Client is responsible for backup of data, artifacts, and configurations in their Microsoft environment. The Provider is not liable for data loss due to Client actions, security policies, Microsoft updates, or third-party integrations.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania and applicable European Union laws.

Any disputes shall be subject to the exclusive jurisdiction of the courts in the Republic of Lithuania.

Legal Status

"Benedict Corp." is a project and trade name used for branding purposes.

The Services are currently operated and provided by Dmytro Belykh under the Individual Activity Certificate in the Republic of Lithuania, until Benedict Corp. is formally incorporated as a separate legal entity.

Upon incorporation, all rights and obligations under these Terms shall automatically transfer to the incorporated legal entity, and references to "Benedict Corp." in these Terms shall from that point refer to that entity.

The Services are currently operated by Dmytro Belykh, trading under the brand name Benedict Corp.

Changes to Terms

Benedict Corp. may update these Terms at any time. Continued use of the Applications after changes are published constitutes acceptance of the revised Terms. Changes will be notified in advance via email to the Client.

"Microsoft," "Microsoft 365," "SharePoint," "Power Apps," "Power Automate," "Dataverse," and other related product names are trademarks of Microsoft Corporation in the United States and/or other countries.

Benedict Corp. is an independent provider and is not affiliated with, sponsored by, or endorsed by Microsoft Corporation.

The official websites and domains operated by Benedict Corp. include:

Benedict Corp. will only operate services and communications from these domains or their official subdomains.

Customers and partners should treat communications from other domains claiming to represent Benedict Corp. with caution.

Applicable Legislation

These Terms are subject to and shall be interpreted in accordance with the following legislation, without limitation:

• Directive (EU) 2019/770 of the European Parliament and of the Council of 20 May 2019 on certain aspects concerning contracts for the supply of digital content and digital services.
• Directive 2011/83/EU on consumer rights, as amended.
• Directive 2000/31/EC of the European Parliament and of the Council of 8 June 2000 on electronic commerce (E-Commerce Directive).
• Regulation (EU) 2016/679 (General Data Protection Regulation — GDPR).
• National legislation of the Republic of Lithuania implementing the above EU directives.

Nothing in these Terms shall limit or exclude any mandatory rights granted to consumers under applicable European Union law and the laws of the Republic of Lithuania.
